Overview:
Will be responsible for overseeing, reviewing and providing guidance to the Company for all legal related matters. Primary responsibilities will be to assist Business Development with the acquisition of new hospital partnerships through negotiation and draft of hospital contracts and support the field operations team in renewals of existing agreements. In addition, the General Counsel will review, negotiate and provide commentary on vendor contracts, ensure compliance with rules, laws and regulations, and establish policies and procedures for the Company.
Responsibilities:
Develop and implement a hospital contract renewal and retention strategy.
Negotiate, draft and review hospital and non-hospital customer contracts in partnership with Business Development and the Company's Senior Leadership Team.
Provide support to Business Development and Field operations for Hospital relationships considered to be at risk of terminating their contracts with the Company.
Oversee hospital contract department and ensure tracking, archiving and compliance with hospital contracts.
Enhance existing contracting policies, procedures and monitoring practices.
Monitor and ensure compliance with Federal, state and local rules, laws and regulations.
Establish and maintain various Company policies (privacy, IP)
Write, review and/or provide legal guidance
Provide legal counsel on issues arising from actual or anticipated lawsuits.
Anticipate and guard against legal risks facing the company.
Develop and recommend company policy and position on legal issues.
Conduct and coordinate research into a variety of legal issues.
Represent the Company or its officials in various legal proceedings.
Prepare legal pleadings, motions, discovery and stipulations as necessary.
Develop and recommend improvements to contracting policies and procedures.
Qualifications:
KNOWLEDGE AND SKILL REQUIREMENTS
Significant knowledge of healthcare and hospital specific laws and regulations impacting our business (Example: HITECH, HIPAA, BAA's).
General knowledge of federal, state and local laws across a number of legal disciplines (litigation, contracts, and not-for-profit).
Significant contract and general corporate related legal expertise required.
Requires membership in the State Bar as an attorney qualified to practice law in the state of Missouri.
Strong interpersonal and communication skills.
